Background
Vertex has entered into an agreement worth about $10 billion to purchase Crinetics Pharmaceuticals, which will provide it with an entry into rare endocrine disorders and diversify its portfolio from the area where it is currently focusing, cystic fibrosis (CF).
Under the agreement, Vertex will purchase Crinetics at $85 per share, representing a premium of about 102 percent more than Crinetics’ closing price last night. At the time of the announcement, Crinetics’ shares rose by almost 200%, with Vertex’s shares down by approximately 2%.
The acquisition is one of the biggest pharmaceutical transactions of the year, as big pharma firms look to take advantage of the strong cash flows and attractive biotechnology valuations and patent expirations of key drugs.
The purchase brings endocrinology to Vertex’s portfolio for the fifth time after the company acquired its cystic fibrosis, hematology, pain and renal diseases businesses. The company’s Chief Executive Officer, Reshma Kewalramani, said there was no change in the long-term approach of the company and it remains committed to its research and development strategy and proper utilization of capital.
The deal also provides Vertex with access to its first once-daily oral medicine approved by the US Food and Drug Administration (FDA) for adults with acromegaly, a rare condition characterized by an overproduction of growth hormone. According to Kewalramani, the company plans to make use of its strengths in bringing products to market for rare diseases so that the product continues its success journey.
Crinetics also has an experimental advanced drug known as atumelnant used for treating congenital adrenal hyperplasia (CAH). The deal is expected to wrap up sometime in Q3 2026, and after that, the acquisition should give Vertex a boost to its operating income by 2029.
